New Delhi: Bharti Airtel is set to merge its Direct-to-Home (DTH) business, Airtel Digital TV, with Tata Play in a strategic share swap deal. Under the terms of the agreement, Airtel will hold a majority stake of 52-55 per cent, while existing Tata Play shareholders, including Tata Sons and Walt Disney, will retain 45-48 per cent.
This move is expected to strengthen Airtel’s broadband and entertainment segments by enabling bundled offerings across telecom, broadband, and DTH services.
The Strategic Rationale Behind the Merger
The merger aligns with Airtel’s strategy to consolidate its position in the entertainment and broadband market. The combined entity will leverage Tata Play’s 19 million-strong subscriber base and its half-a million broadband customers, helping Airtel expand its reach.
With a collective paid subscriber base of 35 million and estimated revenues exceeding Rs 7,000 crore for FY24, the deal signals a major shift in the Indian television and telecom landscape.
Both Airtel Digital TV and Tata Play bring distinct strengths to the table. While Airtel boasts an extensive broadband network and telecom infrastructure, Tata Play has built a strong brand presence in the DTH sector.

The Decline of the Pay-TV Market
The merger comes at a time when the traditional pay-TV market in India is shrinking. The number of subscribers has fallen from 120 million to 84 million in recent years, a clear indication of shifting consumer preferences. According to the Telecom Regulatory Authority of India (TRAI), the DTH subscriber base has declined from 70 million in FY21 to 60 million in FY24.
This downward trend is attributed to several factors, including the rapid adoption of Over-the-Top (OTT) streaming services, affordable mobile data, widespread internet penetration, and the changing viewing habits of younger audiences, who prefer on-demand content over traditional scheduled programming.
OTT Aggregation: A Game Changer for Telecom Operators
Telecom operators, including Airtel, are well-positioned to capitalize on the growing demand for OTT content. With high-speed broadband and mobile data services, they can bundle OTT subscriptions with their telecom offerings, making them more attractive to consumers.
This trend has already been evident with Reliance Jio, which has successfully integrated JioCinema and JioTV into its telecom ecosystem.
By merging with Tata Play, Airtel will be better equipped to offer comprehensive entertainment packages that include DTH, broadband, and OTT services. This move is aimed at retaining existing customers while attracting new ones who seek an integrated entertainment experience.
